Terms of Service

Important notice: The legally binding version of these Terms of Service is the German version ("Allgemeine Geschäftsbedingungen"). This English summary is provided for your convenience only. In case of any discrepancy, the German version shall prevail.


1. Scope

These terms govern your access to and use of PDF UA Kit's web application, API, and related services for the generation of standards-compliant PDF documents (PDF/UA per ISO 14289, PDF/A per ISO 19005, ZUGFeRD/XRechnung per EN 16931). By creating an account, you confirm that you accept these terms.

The platform is primarily intended for business users (B2B). Where consumers use the platform, additional consumer protection provisions apply (see Section 10).

2. Account Registration

You must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account, including those of team members you invite.

3. Service Description

PDF UA Kit provides a web-based SaaS platform for creating standards-compliant PDF documents. The provider does not offer legal, tax, or compliance advice. You are solely responsible for ensuring that your generated documents meet your legal and contractual requirements.

4. Payment & Billing

Paid subscriptions are billed monthly or yearly in advance. All prices are exclusive of applicable VAT. Additional Volume Packages may be purchased separately. Unused quotas expire at the end of the billing period. Payment is accepted via SEPA direct debit, credit card, or other supported payment methods.

5. Usage Rights

You receive a non-exclusive, non-transferable, non-sublicensable right to use the platform for the duration of the contract. All PDF documents you generate are yours without restriction. The platform itself remains the intellectual property of the provider.

6. Your Responsibilities

You are solely responsible for the legality, accuracy, and completeness of your data and content. You must maintain regular backups of your data and generated documents on your own systems. Misuse of the platform (automated scraping, malware, illegal document generation) is prohibited.

7. Availability

The provider targets 99.5% annual uptime. Scheduled maintenance and force majeure events are excluded from availability calculations. Maintenance windows are announced at least 48 hours in advance where possible.

8. Data Protection

Our primary infrastructure (servers, databases) is located in Germany/the EU. Certain third-party services (transactional email via Resend, web analytics via Google Analytics) involve the transfer of data to the USA under appropriate safeguards (EU-US Data Privacy Framework). For details, see our Privacy Policy. Where you process personal data of third parties through the platform, a Data Processing Agreement (DPA) per Art. 28 GDPR applies.

9. Liability

The provider's liability for slight negligence in breach of material contractual obligations is limited to foreseeable, contract-typical damages and capped at the net fees paid by you in the twelve (12) months preceding the event. Unlimited liability applies for intent, gross negligence, injury to life/body/health, and product liability.

10. Term & Termination

Monthly billing: 14 days' notice to the end of the billing month. Yearly billing: 1 month's notice to the end of the contract year; auto-renewal applies. Extraordinary termination for cause remains available. After termination, your data is available for download for 30 days, then permanently deleted (subject to statutory retention periods).

Consumer right of withdrawal: If you are a consumer, you have a 14-day right of withdrawal from the date of contract conclusion. The right of withdrawal expires early if you explicitly consent to the service beginning before the withdrawal period ends.

11. Governing Law & Jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For business customers, the exclusive place of jurisdiction is the provider's registered office.
